License Summary
A plain-English summary of the rights you keep, the licence you grant us, and what we will and will not do with your music and recordings. This page is a reading aid; the operative document is the Terms of Service, specifically section 5.
Everything you own.
Copyright, master rights, performance rights, publishing rights, moral rights and any related rights worldwide stay with you. Uploading does not transfer ownership of anything to TrackOrigin.
A limited licence to run the service.
So we can host, transcode, analyse and verify your audio, issue your certificate, and display your public certificate page and embeddable seal.
Sell or syndicate your audio.
We do not sell, licence, syndicate or distribute your audio, your stems, your vocals, your lyrics or any recognisable portion of your work to any third party for that third party's own use.
1. What you grant us, in detail
When you upload a track and record a verification session, you grant TrackOrigin a worldwide, non-exclusive, royalty-free licence to do the things we need to do in order to provide the service to you. Concretely, that includes:
- Storing and hosting the audio file you upload and the live session recordings you make, on our infrastructure (and on infrastructure provided by reputable third-party storage and hosting providers we engage to run the service).
- Transcoding and re-sampling the audio so our ML pipeline can read it.
- Running analysis on the audio — including stem separation, pitch tracking, tempo detection, key estimation, chord progression, structure segmentation, vocal transcription, fingerprinting, face matching, liveness scoring and any other analysis described in our public methodology.
- Generating derived artefacts from the audio and recordings — including stems, transcripts, fingerprints, embeddings, frame extractions, scores and the cryptographic manifest that becomes your Certificate.
- Displaying your public certificate page and serving the embeddable seal, badge and widgets you place elsewhere.
- Sub-licensing the above only to our infrastructure providers, contractors and agents to the extent necessary to deliver the service to you.
This licence is for operating the service. It is not a sale, assignment or any form of rights transfer. You can revoke the licence in respect of a specific upload by deleting it from your account (see clause 5.6 of the Terms for the limited records we may keep after deletion).
2. Improving the verification service (opt-out)
In addition to the operational licence above, you grant us a licence to use the audio and session recordings you upload, in de-identified and aggregated form, to evaluate, train, fine-tune and improve the verification models, scorers, liveness gates and fraud-detection systems behind TrackOrigin.
This is so that the verification gets more accurate over time and is harder to spoof. It is a normal part of running an ML-backed service. Specifically:
- We will: use aggregated learnings from the audio to make the models better at telling real human authorship apart from synthetic content, and to make liveness checks harder to fool.
- We will not: sell, licence, syndicate or distribute your audio (or your stems, vocals, lyrics, melodies or any recognisable portion of your work) to any third party for that third party's own use.
- We will not: generate new musical works that reproduce a substantial part of your work in human-perceptible form.
You can switch this off at any time from your account settings, under "Improve TrackOrigin from my uploads". Switching it off stops new use of your data for these purposes. Aggregated, statistical learnings already incorporated into existing model parameters cannot be retroactively removed without retraining; retroactive removal is not part of what switching off does.
The operative wording is at clause 5.4 of the Terms of Service.
3. Your promises when you upload
When you upload a track and grant the licences above, you promise us that:
- You have the right to upload the audio and to grant the licences in section 5 of the Terms (including this licence summary's section 1 and 2);
- The audio does not infringe anyone else's rights;
- Your declarations about the track (BPM, key, AI tool usage, instruments, etc.) are truthful;
- You are not attempting to spoof the verification (no held photos, no pre-recorded video, no deepfakes).
If any of those promises is wrong and we are sued or held liable because of it, you cover us under the indemnity at clause 12 of the Terms.
4. What a Certificate is — and what it isn't
A TrackOrigin Certificate attests that, on a specific date, against a specific audio file, the holder of a specific TrackOrigin account passed a set of live, scored authorship challenges. That is what the certificate manifest cryptographically signs and what the public certificate page shows.
It does not:
- determine legal ownership or copyright;
- clear samples, splits, publishing, mechanical, performance or neighbouring rights;
- warrant that the work is original or non-infringing; or
- guarantee that no AI tools were used beyond what was declared.
Confirming the underlying legal status of the work, and dealing with any other rights holders, is your responsibility.
5. Quick reference
| Right / asset | You | TrackOrigin |
|---|---|---|
| Master recording copyright | You own it. | No ownership; limited licence to operate the service only. |
| Underlying composition / publishing | You own it (subject to your splits with co-writers). | No ownership; never transferred by uploading. |
| Performance rights / neighbouring rights | You retain them. | No ownership; no claim. |
| Your face & voice recordings (session) | You retain rights; you consent to the use described in the Privacy Policy. | Limited licence to use them to verify identity, prevent fraud, and improve the verification models (opt-out per section 2 above). |
| Fingerprint of the uploaded audio | Not a right of yours in itself — it is a one-way hash derived from your audio. | We retain it indefinitely for fraud prevention and certificate integrity (see Privacy Policy §8). |
| Issued Certificate & signed manifest | You can display, embed and refer to it. | We sign, host and serve it. We may revoke it for the reasons in clause 4 of the Terms. |
| Origin Seal, Disc, H glyph, TO-1.0 | You may use them with your Certificate under our brand-kit rules. | We own them. |
